Proposal

Scope of Work

Fee Summary
[Company] will charge fees according to the schedule outlined, and the Client may also be responsible for additional material costs and expenses. Invoices will be sent periodically for payment.
Payments are due by the specified due date on each invoice. Late payments may incur extra fees, as noted in the invoice terms. Payment methods and any associated fees will be detailed in the invoice.
Termination
Either party can end this agreement at any time by giving written notice. Once notice is received, the Service Provider will stop earning compensation. Upon termination, the Service Provider will be paid for all work done and expenses incurred up to the termination date.
Conditions
This agreement is the complete understanding between the parties and replaces all prior discussions. Any changes to the agreement must be in writing and agreed upon by both the Service Provider and the Client.
The Service Provider is an independent contractor, not an employee, and will act as such when working with third-party contractors and suppliers on the Client's behalf. The Client is responsible for paying these contractors and suppliers directly.
The Service Provider's services will follow industry best practices, but there are no guarantees or warranties, express or implied.
Limitation of Liability
Neither party will be held liable for damages like lost profits that aren't a direct result of the other party's negligence or breach. The Service Provider isn't responsible for issues with materials, products, or services from third-party suppliers. Additionally, the Service Provider doesn't guarantee its own services or those of other contractors hired by the Client.
